Terms of Use
BackingNordics
Last updated: 11 October 2026
1. Introduction and parties
These terms of use (the "Terms") govern your use of the BackingNordics service (the "Service" or "BackingNordics") provided by Active Intelligent Stockholm AB, company registration number 559605-8825, with its registered office at Drevergatan 1B, 115 47 Stockholm, Sweden ("BackingNordics", "we", "us" or "our").
The Terms apply between BackingNordics and the company which registers an Account or otherwise uses the Service (the "Customer", "you" or "your"). The individual who registers the Account confirms that they are authorised to enter into agreements on the Customer's behalf.
By registering an account, ticking a consent box or otherwise accepting the Terms, you and BackingNordics enter into a binding agreement (the "Agreement"). Read the Terms carefully before accepting them.
The Service is directed exclusively at companies and traders. Consumer legislation (such as the Swedish Consumer Sales Act, the Consumer Services Act, the Act on Distance Contracts and Off-Premises Contracts, or the specific consumer provisions of the Marketing Act) therefore does not apply to the Agreement. Consumers may not register an account or use the Service.
2. Definitions
In these Terms the following terms have the meanings set out below:
- "Agreement": These Terms together with any supplementary terms and additional documents incorporated by reference, such as the privacy policy.
- "Account": The user account the Customer creates in order to access the Service.
- "Supplier": A third party, such as a SaaS provider, software vendor, financial services provider or other service provider, with which BackingNordics has a cooperation agreement and whose products or services may be introduced to the Customer through the Service.
- "Supplier Agreement": The agreement entered into directly between the Customer and a Supplier regarding the Supplier's product or service.
- "Customer": The company which has registered an Account and accepted the Terms.
- "Quote": The offer a Supplier prepares based on the Customer's needs and which is passed on through BackingNordics.
- "Platform": The website www.backingnordics.com and associated digital interfaces.
- "Service": The whole of what BackingNordics provides, including the Platform, the matching function, the passing on of Quotes, communication and related additional services.
3. Description of the Service
3.1 What the Service is
BackingNordics is a digital matching and introduction service for business software and closely related operational solutions. The Service enables the Customer to:
- state its needs, preferences and company details through the Platform,
- have those needs analysed and compared against relevant Suppliers,
- receive pre-negotiated Quotes from one or more selected Suppliers, and
- voluntarily enter into a Supplier Agreement directly with a chosen Supplier.
3.2 BackingNordics' role as intermediary
BackingNordics acts as an independent intermediary and matching service between the Customer and the Supplier. BackingNordics:
- is not a party to the Supplier Agreement,
- is not the producer, seller, distributor or reseller of the Supplier's products or services,
- is not responsible for the Supplier's delivery, quality, performance, security, support or compliance with the Supplier Agreement, and
- gives no warranties in respect of the Supplier's products or services.
The entire contractual relationship regarding the actual product or service arises directly between the Customer and the Supplier and is governed by the Supplier's own terms.
3.3 Business model: the Service is buyer funded
For full transparency we state our business model plainly:
- The Customer pays BackingNordics for the Service. We are funded by the companies we act for, not by the Suppliers we introduce them to.
- Our recommendation is not for sale.
- This is the point of the model. Because we are paid by the buyer, our interest in finding the Customer a better price is the same as the Customer's own, and a recommendation from us is not a placement bought by a Supplier.
- BackingNordics does not receive any compensation, fees or other payment of any kind from Suppliers. BackingNordics is paid only by its Customers, as set out in section 7.
3.4 Availability
BackingNordics aims to make the Service available around the clock. BackingNordics does not, however, guarantee uninterrupted access and reserves the right to take all or part of the Service down temporarily or permanently for maintenance, updates, security measures or other reasons without prior notice.
4. Formation of the Agreement and account registration
4.1 Registering an Account
In order to use the Service in full the Customer needs to register an Account. On registration the Customer must provide accurate, complete and current information about itself and its company. The Customer is responsible for keeping that information up to date.
4.2 Eligibility
The person registering the Account on the Customer's behalf confirms that they:
- are at least 18 years old,
- are authorised to enter into the Agreement on the Customer's behalf,
- are not a consumer, but are acting in the Customer's business, and
- are not subject to insolvency proceedings, a trading prohibition or any equivalent impediment.
4.3 Formation of the Agreement
The Agreement is considered concluded when the Customer has ticked the consent box ("I accept the Terms") and completed registration, or has otherwise begun using the Service in a way which can reasonably be interpreted as acceptance of the Terms.
4.4 Account security
The Customer is responsible for keeping login credentials confidential and for all activity that takes place through the Account. If unauthorised use is suspected the Customer must notify BackingNordics immediately at oskar@backingnordics.com.
5. Marketing, contact and communication: consent
This section matters. Read it carefully.
By registering an Account, accepting the Terms or otherwise actively indicating interest in the Service (for example by completing a contact form, submitting a description of your needs or taking part in a call with us), you and the Customer expressly consent to BackingNordics and its partners contacting you and the Customer as set out below.
5.1 Channels of communication
BackingNordics, its employees, sales consultants (for example an SDR team) and partners may contact the Customer and the Customer's contact persons by:
- telephone, including calls for sales, follow up, needs analysis, qualification, presentation of Quotes, presentation of new Suppliers, market research and account care,
- email, including newsletters, information mailings, marketing, offers, surveys, invitations, follow up on Quotes and other information about the Service and the Suppliers,
- SMS and other text based messaging services (including WhatsApp, iMessage or equivalent), for short reminders, important messages, booking confirmations and where applicable marketing,
- physical post, for marketing, invitations and contract documents,
- direct messages on social platforms and professional networks (for example LinkedIn), for follow up, sales, invitations and relationship building,
- calendar invitations and video meetings, for booked meetings and follow ups.
5.2 Content of the communication
The communication may include, among other things:
- Marketing and sale of BackingNordics' services and of the Suppliers' products and services.
- Information about new Suppliers, new categories and newly negotiated prices.
- Personal recommendations based on the Customer's profile, needs and previous interaction (profiling, see the privacy policy).
- Follow up on submitted requirements, Quotes and ongoing discussions.
- Invitations to webinars, events, breakfast meetings and similar activities.
- Market research, NPS measurement and customer satisfaction surveys.
- Information about changes to the Service, the Terms, the Supplier range or pricing.
- Service messages, security notices and operational information.
5.3 Frequency and timing
BackingNordics reserves the right to contact the Customer as often as may be considered justified from a business and account care perspective. Contact will normally take place during ordinary office hours (Monday to Friday, 08:00 to 18:00), but service messages and confirmations may be sent at any time.
5.4 Consent is voluntary and may be withdrawn
Consent is voluntary. The Customer may at any time:
- unsubscribe from email mailings using the unsubscribe link in every mailing,
- object to direct marketing generally under Article 21(2) GDPR, in which case all marketing contact ceases immediately,
- request not to be telephoned for sales or marketing purposes,
- withdraw consent to SMS marketing,
by notifying BackingNordics at oskar@backingnordics.com. Withdrawal does not affect the lawfulness of communication that took place before the withdrawal.
Note that certain types of communication, such as necessary contractual, service and security messages, are a precondition for providing the Service. Such communication ceases only when the Agreement ends.
5.5 Legal basis
The processing of personal data in connection with marketing and contact takes place on the basis of:
- Contract (Article 6(1)(b) GDPR) for service messages, contractual communication and the handling of the Customer's requests.
- Legitimate interest (Article 6(1)(f) GDPR) for email marketing of our own similar services where the conditions for soft opt-in in Section 19 of the Swedish Marketing Act (2008:486) are met: we obtained the email address in connection with a sale to the recipient, the recipient has not objected, and we offer a clear, simple and free opt-out when collecting the address and in every subsequent marketing email.
- Consent (Article 6(1)(a) GDPR) to the extent required by law, for example for marketing through electronic channels where consent is necessary.
6. Passing on Quotes
6.1 Process
When the Customer states its needs through the Service, BackingNordics may:
- analyse the needs internally or together with relevant Suppliers,
- share the necessary information with one or more Suppliers in order to make a Quote possible,
- compile and present Quotes to the Customer, and
- facilitate follow up and dialogue between the Customer and the Supplier.
6.2 No guarantees regarding a Quote
BackingNordics makes no representation that a particular Quote will be given, as to its content, price or terms, or as to how quickly a Quote can be delivered. Any times stated on the Platform (for example "usually within 24 hours") are indicative, not agreed delivery times.
6.3 No obligation to buy
The Customer is never obliged to accept a Quote. The Customer decides freely whether or not to enter into a Supplier Agreement. No obligation towards the Supplier arises until the Customer and the Supplier have expressly entered into a Supplier Agreement.
6.4 The Supplier's terms govern the Supplier Agreement
When the Customer enters into a Supplier Agreement, the relationship between the Customer and the Supplier is governed exclusively by the Supplier's terms (contract, general terms, privacy policy and so on). The Customer is itself responsible for reading and understanding those before entering into an agreement.
7. Fees and what we do and do not commit to
7.1 Fees payable to BackingNordics
The Service is paid for by the Customer. BackingNordics is buyer funded: we are paid by the companies we act for and not by the Suppliers we introduce them to.
Fees are agreed per engagement and are set out in the agreement entered into with the Customer.
BackingNordics offers different commercial models. The fee, if any, and how and when it is invoiced, are set out in the engagement agreement. The pricing described on the BackingNordics website is our standard model and applies unless the engagement agreement says otherwise.
Fees applicable to the Customer will be stated clearly and accepted by the Customer before they are incurred. No fee is charged that the Customer has not accepted in advance.
7.2 What we commit to regarding savings
This section states precisely what is and is not promised, because savings are the reason most Customers use the Service.
What we do commit to:
- To act in the Customer's interest when sourcing, comparing and negotiating, and not to accept any payment of any kind from Suppliers (see section 3.3).
- To tell the Customer what we found, including where we found nothing worth changing.
- Where a savings guarantee has been agreed with a Customer in writing for a specific engagement, to honour that guarantee on its own terms.
Whether BackingNordics guarantees a saving depends on the engagement agreement. Where the engagement agreement includes a savings guarantee, that agreement sets out how the saving is measured, over what period, what evidence is required and what remedy applies. Where the engagement agreement does not include a savings guarantee, BackingNordics does not guarantee any particular saving, and nothing in these Terms creates such a guarantee.
In the event of any conflict between these Terms and a savings guarantee agreed in writing for a specific engagement, that agreement prevails to the extent of the conflict, and only for the engagement it covers.
What we do not commit to:
- That any particular saving will be achieved, or that any saving will be achieved at all in a given case.
- That the prices obtained are the lowest available anywhere on the market.
- That a Supplier will hold a price, or that prices and terms will not change over time.
- That any specific Quote will be produced, or produced within any particular time.
Statements on the Platform about negotiated prices, lower prices than going direct, or savings are marketing statements based on our ongoing analysis of the market. They are not a binding guarantee in an individual case unless a guarantee is expressly given under this section.
7.3 Payment to a Supplier
All payment for a Supplier's products or services is made directly between the Customer and the Supplier under the Supplier Agreement. BackingNordics is not a party to that payment relationship and is not responsible for invoicing, late payment, refund claims or similar matters between them.
8. The Customer's undertakings and prohibited use
8.1 The Customer's undertakings
The Customer undertakes to:
- provide accurate, complete and current information,
- use the Service in accordance with the Terms and applicable law,
- keep login credentials confidential,
- not misuse the Service in the ways set out below, and
- notify BackingNordics immediately of any suspected unauthorised access or security weakness.
8.2 Prohibited use
The Customer may not:
- use the Service for unlawful purposes or in a way contrary to good business practice,
- attempt to gain unauthorised access to the Platform, to systems, or to other users' accounts or data,
- disrupt or attempt to disrupt the functioning of the Service, for example through denial of service attacks, malicious code, automated requests or similar,
- use automated tools (bots, scrapers and the like) to collect data from the Platform without BackingNordics' prior written approval,
- circumvent technical protection measures,
- impersonate another person or company,
- use the Service for the purpose of competing with BackingNordics, for example to gather information in order to build a similar service,
- pass on, sell or otherwise make available Quotes or information from the Service to a third party without BackingNordics' prior written approval,
- upload, distribute or otherwise make available material which is unlawful, offensive, defamatory, threatening, invasive of privacy, misleading or which infringes a third party's intellectual property rights, or
- otherwise act in a way which harms BackingNordics, its Suppliers, other Customers or third parties.
8.3 Consequences of breach
In the event of a breach of section 8.2, BackingNordics is entitled, without prior notice and without liability to compensate:
- to suspend the Account temporarily,
- to terminate the Agreement permanently and delete the Account,
- to withdraw Quotes in progress,
- to bring a claim for damages, and
- to take such other measures as BackingNordics considers justified.
9. Intellectual property rights
9.1 BackingNordics' rights
All content on the Platform and in the Service, including but not limited to trade marks, logos, text, design, layout, graphics, software, algorithms, database structures, pricing models, methods, documentation, processes and know-how, belongs to BackingNordics or its licensors and is protected by copyright, trade mark law and other intellectual property law.
9.2 Limited right of use
The Customer is granted a non-exclusive, non-transferable, revocable right to use the Service in accordance with the Terms for the duration of the Agreement. No other right or licence is transferred.
9.3 Restriction on reproduction
The Customer may not copy, modify, distribute, sell, rent out, decompile, reverse engineer or create derivatives of the Service or its content without BackingNordics' prior written approval.
9.4 Use of the Customer's trade mark
Unless the Customer objects in writing, BackingNordics may use the Customer's name and logo in marketing as a reference (for example "X is a customer of BackingNordics"). The Customer may withdraw this permission at any time by notifying oskar@backingnordics.com.
10. Personal data and privacy
The processing of personal data within the Service is governed by BackingNordics' privacy policy, available at www.backingnordics.com, which forms an integral part of the Agreement. By accepting the Terms the Customer confirms that it has read the privacy policy.
In the event of any conflict between the Terms and the privacy policy on data protection matters, the privacy policy prevails.
Before BackingNordics processes personal data on the Customer's behalf and on the Customer's instructions, the parties must enter into a separate data processing agreement under Article 28 GDPR.
10.1 Use of customer data to improve the Service
We may use data from the Customer's use of the Service to operate, secure, support and improve the Service. That includes diagnosing faults, understanding which parts of the Service are used, and making the analysis and negotiation work better.
We do not use data that identifies the Customer or any individual to train or fine tune machine learning models. Data sent to our model provider is not used to train the model provider's models. Our own model training uses anonymised data only, as set out below.
BackingNordics stores data from engagements in anonymised form, so that it cannot be linked to the Customer or to any individual. BackingNordics uses this anonymised data to train and improve its models, in particular to detect and counter pricing discrimination between buyers.
Where the Customer is the controller and we process personal data on the Customer's behalf, this section is subject to the separate data processing agreement required by section 10.
11. Disclaimer and warranties
11.1 The Service is provided as is
The Service is provided "as is" and "as available". To the extent permitted by mandatory law, BackingNordics disclaims all express and implied warranties, including but not limited to warranties as to:
- fitness for a particular purpose,
- uninterrupted or error free operation,
- security,
- accuracy or completeness of the content,
- that the Service will meet the Customer's specific requirements,
- that any errors will be corrected within any particular time, or
- the results obtained from the Service, including any level of saving.
No warranty as to results: BackingNordics makes no warranty, express or implied, as to the results the Customer will obtain from using the Service, including as to whether any saving will be achieved, the amount of any saving, or whether any outcome the Customer is seeking will be reached. The Customer is responsible for its own decisions about what to buy, from whom and on what terms.
This section is subject to section 7.2. Where a savings guarantee has been agreed with a Customer in writing for a specific engagement, that agreement governs and prevails over this section to the extent of any conflict, for the engagement it covers.
11.2 Disclaimer regarding Suppliers and Quotes
BackingNordics gives no warranty as to:
- whether a Quote will be given within any particular time, or at all,
- the content, price or terms of a Quote,
- a Supplier's products, services, quality, functionality, availability, support or compliance with applicable law,
- a Supplier's financial position, continued existence or conduct, or
- the prices obtained being the absolute lowest available on the market.
See section 7.2 for what is and is not committed in respect of savings.
11.3 Third party services and links
The Platform may contain links to external websites and services provided by third parties. BackingNordics is not responsible for the content, functioning or processing of personal data on such external services.
12. Limitation of liability
12.1 General limitation
BackingNordics' total aggregate liability to the Customer, on any legal basis (contractual, non-contractual, negligence or otherwise), over the entire term of the Agreement, is limited to an amount corresponding to twenty five thousand (25,000) Swedish kronor.
The Agreement is a business to business agreement between commercial parties.
12.2 No liability for indirect loss
BackingNordics is in no event liable for indirect loss, consequential loss or special damages, including but not limited to:
- loss of profit,
- lost savings,
- lost or damaged data,
- loss of goodwill,
- business interruption,
- the cost of replacement services, or
- third party claims.
12.3 No liability for a Supplier's conduct
BackingNordics is in no event liable for:
- a Supplier's delivery, quality, functioning, security, availability or support,
- a Supplier's performance or non-performance of the Supplier Agreement,
- a Supplier's processing of the Customer's data (including personal data) under the Supplier Agreement,
- disputes between the Customer and a Supplier,
- incorrect invoicing, late payment or similar matters between the Customer and a Supplier,
- a Supplier's insolvency, bankruptcy or cessation, or
- changes to a Supplier's terms, prices or product range.
If the Customer has a complaint or claim regarding a Supplier's product or service, it must be directed to the Supplier.
12.4 Exceptions to the limitation of liability
The limitations in sections 12.1 and 12.2 do not apply in the case of:
- loss caused by BackingNordics through intent or gross negligence,
- personal injury,
- breach of mandatory law, or
- to the extent liability cannot be limited under applicable law.
12.5 Notice of claims and time bar
Claims against BackingNordics must be made in writing without undue delay and at the latest within six (6) months of the Customer becoming aware, or of the Customer having ought to have become aware, of the circumstance on which the claim is based. Claims made later are time barred and cannot be pursued.
13. Force majeure
Neither party is considered to be in breach of the Agreement or liable in damages for delay or non-performance where this is due to circumstances beyond that party's reasonable control, such as war, acts of terrorism, natural disasters, pandemics, decisions of public authorities, strikes, lockouts, sabotage, extensive IT or telecommunications outages, cyber attacks, supplier failure or other similar circumstance ("Force Majeure"). The affected party must notify the other party of the Force Majeure event without delay.
If the Force Majeure lasts for more than sixty (60) days, either party is entitled to terminate the Agreement with immediate effect without liability to compensate.
14. Confidentiality
Information which either party receives in connection with the Agreement and which may reasonably be regarded as confidential must be treated as confidential. The confidentiality undertaking continues after the Agreement ends, for a maximum of five (5) years. Confidentiality does not apply to information which:
- is generally known without any action by the party,
- the party has lawfully obtained from a third party without a confidentiality restriction,
- the party already knew before receiving it, or
- must be disclosed under law, a decision of a public authority or a court ruling.
15. Term and termination
15.1 Term
The Agreement runs for an indefinite period from the date it is concluded until terminated by either party as set out below.
15.2 The Customer's right to terminate
The Customer may terminate the Agreement and close its Account at any time and without giving reasons, by sending a message to oskar@backingnordics.com or through the account closure function on the Platform (if available). Termination takes effect immediately.
Fees may arise on termination, as set out in the agreement entered into with the Customer.
15.3 BackingNordics' right to terminate
BackingNordics may terminate the Agreement:
- without giving reasons, on one (1) month's notice,
- with immediate effect in the case of a material breach by the Customer which is not remedied within a reasonable time after written request,
- prohibited use by the Customer under section 8.2,
- the Customer's insolvency, bankruptcy or liquidation,
- suspected or established fraud or misuse,
- a decision of a public authority or a change in law which makes provision impossible, or
- a decision by BackingNordics to discontinue the Service entirely.
15.4 Effects of termination
On termination of the Agreement:
- the Customer's right to use the Service ends,
- the Customer's data are erased or anonymised as set out in the privacy policy and in section 15.5 below (except for data which must be retained under law or in order to handle legal claims), and
- Supplier Agreements already entered into remain in force between the Customer and the Supplier under the Supplier's terms. Termination of this Agreement does not affect them.
Provisions which by their nature are intended to apply after the Agreement ends (such as intellectual property rights, limitation of liability, confidentiality, governing law and dispute resolution) continue to apply thereafter.
15.5 The Customer's data when the Agreement ends
This section states what happens to the Customer's data on termination, so that it does not have to be inferred from the privacy policy.
- Export: Before termination takes effect, or within a reasonable period after it, the Customer may request a copy of the data it has provided to us in a structured, commonly used and machine readable format. Request this at oskar@backingnordics.com.
- Erasure: A closed Account is erased or anonymised 12 months after closure, as set out in the retention section of the privacy policy.
- What is kept, and why: Accounting records are retained for 7 years from the end of the financial year to which they relate, under Chapter 7, Section 2 of the Swedish Bookkeeping Act. Data needed to establish, exercise or defend legal claims are retained for as long as that purpose requires. A limited suppression record is retained where the Customer has asked not to be contacted, precisely so that the request is honoured.
- Sub-processors: Erasure propagates to our sub-processors under the data processing agreements we hold with them.
- What we do not do: We do not retain the Customer's data in order to market to the Customer after the Agreement has ended, and we do not sell it.
16. Changes to the Terms
BackingNordics reserves the right to change or supplement the Terms at any time. Changes are notified to the Customer by email or through information on the Platform at least thirty (30) days before they take effect.
If the Customer does not accept a change, the Customer is entitled to terminate the Agreement with effect from the date the change takes effect. Continued use of the Service after the change takes effect means the Customer is considered to have accepted the changed Terms.
Minor adjustments which do not in any material respect worsen the Customer's position (for example clarifications, editorial changes or updated contact details) may nonetheless be made without prior notice.
17. Assignment
17.1 Assignment by BackingNordics
BackingNordics is entitled to assign the Agreement, and rights and obligations under it, in whole or in part to another legal entity, for example on a restructuring, merger or sale of the business, without the Customer's prior consent.
17.2 Assignment by the Customer
The Customer may not assign the Agreement, or rights and obligations under it, without BackingNordics' prior written approval.
18. Entire agreement, invalidity and waiver
18.1 Entire agreement
The Terms together with the privacy policy and any separately agreed supplementary terms constitute the parties' complete regulation of the relationship and replace all previous agreements, oral or written, between the parties regarding the Service.
18.2 Invalidity of an individual provision
If any provision of the Terms is invalid, unlawful or unenforceable under applicable law, this does not affect the validity of the remaining provisions. The invalid provision is to be replaced by a valid provision which as far as possible reflects the original intention.
18.3 Waiver
The fact that a party does not exercise a right under the Agreement, or is passive in relation to the other party's breach, does not mean that the right has been lost or that the breach has been accepted.
18.4 Illustrations on our website
Product screens, conversations, supplier names, prices and savings shown on backingnordics.com illustrate how Darwin works. They are not results from a specific customer. Actual savings depend on each engagement and are set out in your agreement.
19. Notices
Notices under the Agreement are to be sent:
- to BackingNordics: by email to oskar@backingnordics.com,
- to the Customer: to the email address given on account registration, or through the Platform's communication function.
A notice is considered received by the other party on the same working day it is sent by email, provided it was sent by 17:00, otherwise on the following working day.
20. Governing law and dispute resolution
20.1 Governing law
The Agreement, and rights and obligations arising from it, are governed by and construed in accordance with Swedish law, excluding its conflict of law rules.
20.2 Dispute resolution
A dispute arising out of the Agreement is in the first instance to be resolved by negotiation between the parties in good faith.
If the parties do not reach a resolution by negotiation, the dispute is to be determined by the Swedish general courts, with Stockholm District Court as the court of first instance.
20.3 Voluntary arbitration as an alternative
The parties may, if both so wish, instead refer the dispute to arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce (SCC) under its rules for expedited arbitration. The seat is to be Stockholm and the language Swedish.
